Cassandra Project Foundation MTÜ
The name of the Association is The Cassandra Project Foundation MTÜ.
GENERAL
The Non-profit Association The Cassandra Project Foundation MTÜ acts in the public interest, and is seated in Tallinn.
The Objectives of the Non-profit Association shall be:
1. Supporting the development of achieving physical and mental equilibrium in urban environments: Research, design, innovations, consulting and supporting technological solutions;
2. Collaboration with Public & Private Institutions;
3. Trainings, General Public Awareness and Educational Programs for the physical and mental equilibrium in urban environments.
Donations
The Non-profit Association may collect donations.
Members' rights and obligations
Any private or legal person who is willing to actively contribute to the objectives of the Association and fulfil the requirements of the articles of association can be a member of the Association. Admission and exclusion are organized by the management board of the Association.
A member of the Association has all legal rights and the right to receive from the governing bodies all information about the activities of the Association.
The size of the entry and membership fees of the Association shall be approved by the general meeting.
A member of the Association may be excluded from the Association in addition to cases provided by law if the member:
- does not pay the membership fee or entry fee by the prescribed time;
- has knowingly submitted incorrect information upon admission to the Association, as a result of which their acceptance as a member of the Association was not legal.
The Association does not distribute its assets or benefits or provide material assistance or financially appraisable benefits to its founder, member, member of the management board or inspection body, a person who made a donation to the Association or a member of the management board or inspection body of such person, or persons related to such persons.
Management
The highest body of the Association is the general meeting of members in accordance with the law, which may be attended by all members of the Association.
When convening a general meeting and taking decisions, the law shall be followed. The general meeting has a quorum regardless of the number of participants.
The Board of the Association is elected for a term of five (5) years, and it may include one to five members appointed by the general meeting.
The general meeting may specify an audit for the term of office of the management board.Economic activities and distribution of assets
The fiscal year of the Association is from 01.12 to 31.12.
The Association shall be terminated in accordance with the procedure prescribed by law.
Upon termination of the activities of the Association, the remaining assets shall be transferred to an organisation with a similar purpose entered in the list of non-profit associations, foundations and religious associations with income tax incentives or to a legal person governed by public law.
